Katy Covington is an associate in the Houston office of Cokinos | Young where her practice focuses on corporate transactions, commercial real estate, and general business matters. She advises clients on diverse business transactions, including mergers and acquisitions, dispositions, spin-offs, wind-ups, restructurings, debt and equity financing transactions, and corporate governance.  She also assists with outside general counsel duties for numerous closely held businesses, including advising on growth and operational issues and general corporate law. Additionally, Katy has significant commercial real estate experience, representing landlords and tenants in office and retail leasing transactions and buyers and sellers in connection with the acquisition, financing, disposition, and development of various types of commercial property, including multi-family, mixed-use, office, and retail projects. She has also represented numerous corporate and individual parties in contract and commercial disputes in state and federal courts.

Practice Areas and Casework

  • Represented stockholders in the sale of the company’s stock to a private equity fund for $45M and rollover equity
  • Represented closely held corporation in stock redemption for $2M concurrently with the purchase of real estate for approximately $8M and the restructuring of approximately $4M of debt
  • Represented numerous borrowers in acquisition and leasing of retail centers valued at over $45M (with $30M-plus in CMBS and traditional financing)
  • Represented landlords in drafting and negotiating office and retail leases with national and regional tenants
  • Represented national fast-food chain with ongoing issues related to Texas lease
  • Represented clients in connection with their ownership (including Freddie Mac refinancing) and day-to-day operation of over 2,300 residential units in Texas
  • Advised clients on disclosures and risk factors and drafted private placement memoranda and subscription documents in connection with unregistered securities offerings
